Endesa’s board will re-elect Sánchez-Calero as independent director

Endesa’s general shareholders’ meeting, which will be held on April 28 in a single call, will once again select Juan Sánchez-Calero Guilarte, current non-executive chairman of the company, as an independent director for four more years, as indicated by the meeting agenda sent to the National Securities Market Commission (CNMV).

In addition, shareholders will also vote for the re-election of Ignacio Garralda, president of Mutua Madrileña, and Francisco de Lacerda, former CEO of Correos de Portugal, as independent directors, as well as Alberto de Paoli, Enel’s financial director, as proprietary director. Likewise, the meeting will agree through a vote on the annual report on the remuneration of the directors with a binding nature, and the strategic incentive 2023-2025, which implies payment in shares of the company, will be submitted for approval.

The agenda also includes the usual votes regarding the report on the remuneration of directors’ operations, the distribution of dividends and the approval of bonds. In addition to calling the Meeting, Endesa’s board of directors has agreed to carry out a temporary share repurchase program to meet the share delivery plan for its employees.

Specifically, the program will be in force from March 24 to April 6, or until the maximum number set in the conditions is acquired. Endesa has set the repurchase limit at 943,000 shares, equivalent to 0.09% of the shares in circulation, with an investment that may not exceed 12.2 million.
